1. Acceptance of terms

By creating an account or using Ampoise ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Ampoise, operated from San Francisco, California.

2. Description of service

Ampoise is a software-as-a-service platform that monitors industry news feeds, uses artificial intelligence to generate draft thought leadership posts, and — with your explicit approval — publishes those posts to your connected social media accounts (such as LinkedIn and X/Twitter). Ampoise is a productivity and content drafting tool; you remain solely responsible for all content published under your accounts.

3. Accounts and eligibility

• You must be at least 16 years old to use Ampoise.
• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You may not share your account with others or create multiple accounts to circumvent usage limits.
• Notify us immediately at support@ampoise.com if you suspect unauthorised access to your account.

4. Social media connections and publishing

When you connect a social media account (e.g. LinkedIn, X/Twitter) to Ampoise, you grant us permission to:

• Read your public profile information to personalise the Service.
• Publish content to your account only after you have explicitly approved it within the Ampoise dashboard.

You can revoke this permission at any time from Settings → Connections, or directly from the respective platform's security settings. You are solely responsible for ensuring that any content you approve for publication complies with the terms of service of the relevant social media platform.

5. AI-generated content

Ampoise uses large language models (currently provided by Anthropic) to generate draft posts from publicly available news articles. You acknowledge and agree that:

• AI-generated drafts are a starting point and may contain inaccuracies, errors, or content that does not reflect your views.
• You are responsible for reviewing every draft before approving it for publication.
• Ampoise does not guarantee that AI-generated content is accurate, original, free from third-party intellectual property claims, or suitable for any particular purpose.
• You own the content you publish. Ampoise claims no intellectual property rights over your approved and published posts.

6. Acceptable use

You agree not to use Ampoise to:

• Publish content that is defamatory, harassing, obscene, fraudulent, or in violation of any applicable law.
• Generate or distribute spam, misinformation, or manipulative content.
• Violate the terms of service of any connected social media platform.
• Attempt to reverse-engineer, scrape, or disrupt the Service or its infrastructure.
• Circumvent any rate limits, usage caps, or access controls.
• Use the Service to infringe any third party's intellectual property rights.

We reserve the right to suspend or terminate your account for violations of this section without prior notice.

7. Subscriptions and billing

• Ampoise offers paid subscription plans. Pricing is displayed on our website and within the app.
• Subscriptions are billed in advance on a monthly or annual basis via Stripe.
• You authorise us to charge your payment method on each renewal date unless you cancel.
• Cancellations take effect at the end of the current billing period. We do not offer prorated refunds for unused time, except where required by law.
• We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.
• Free trials, if offered, convert to paid subscriptions at the end of the trial unless cancelled.

8. Intellectual property

The Ampoise name, logo, product design, and underlying software are owned by Ampoise and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the Service without our prior written consent. You retain ownership of all content you create, edit, and publish through Ampoise.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will meet your expectations or requirements.

10. Limitation of liability

To the maximum extent permitted by applicable law, Ampoise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to Ampoise in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ampoise and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your published content, or your violation of these Terms.

12. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your access to the Service at any time for violations of these Terms, for non-payment, or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including Sections 5, 8, 9, 10, 11, and 13.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.

14. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the app at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
